PLEASE CAREFULLY READ THESE TERMS OF USE OF TRADEIFY BROKERAGE LLC D/B/A “SLAY MARKETS” (“TRADEIFY” OR “SLAY MARKETS” OR “WE” OR “OUR”) BEFORE CREATING A SLAY MARKETS ACCOUNT THROUGH THE SLAY MARKETS WEBSITE OR USING THE SERVICES (AS DEFINED BELOW) PROVIDED BY SLAY MARKETS. THESE SLAY MARKETS TERMS OF USE AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS. THESE AGREEMENTS (AS DEFINED IN THE INTRODUCTION SECTION) ARE SUBJECT TO A WAIVER OF TRIAL BY JURY. THESE TERMS OF USE GOVERN ACCESS TO AND THE USE OF THE SLAY MARKETS WEBSITE OR SERVICES OF SLAY MARKETS BY OUR ACCOUNT HOLDERS, USERS AND VISITORS (“CUSTOMER” OR “YOU,” OR “YOUR,” OR “YOURS”), HOWEVER SUCH WEBSITE OR SERVICES ARE ACCESSED, INCLUDING ANY CONTENT, FUNCTIONALITY, PRODUCTS AND SERVICES, INFORMATION ABOUT OUR PRODUCTS AND SERVICES, YOUR ACCOUNTS, AND OTHER TOOLS OFFERED.
The Slay Markets website, www.slaymarkets.com (“Website”), and Services are offered to you subject to your affirmative and unequivocal acceptance, without modification, of all the Terms of Use in their entirety. When accepted by you, these Terms of Use form a legally binding contract between you and Slay Markets.
Through the Slay Markets Website you may trade certain commodity interests or derivatives (for example only, futures contracts including event contracts), including, without limitation, purchasing commodity interests or derivatives; opening commodity interests or derivatives transaction positions; reducing the size of commodity interests or derivatives positions; and closing positions in commodity interests or derivatives (such actions, "Commodity Transactions") to be executed by NinjaTrader Clearing LLC (“NinjaTrader”), a Futures Commission Merchant ("FCM") registered with, and operating under the oversight of, the U.S. Commodity Futures Trading Commission ("CFTC"), for purposes of accessing, executing, and clearing Commodity Transactions through one or more Designated Contract Markets ("DCMs") and Derivatives Clearing Organizations ("DCOs"), licensed by, and operating under the oversight of, the CFTC pursuant to the Commodity Exchange Act. For clarity, any such activity operating on such DCM will be regulated by the CFTC pursuant to the Commodity Exchange Act and governed by all applicable laws, rules, and regulations. Tradeify d/b/a “Slay Markets”, acting in its capacity as an Introducing Broker ("IB") registered with the CFTC and as a member of the National Futures Association (“NFA"), is enabling you to create a Slay Markets account ("Slay Markets Account") and use functionality to trade Commodity Transactions (the "Services").
Slay Markets operates the Website, but does not conduct or provide, and the Services provided by Slay Markets do not include, settlement, clearing, holding of funds, and other actions necessary to perform Commodity Transactions (all such actions and functions, as determined by Slay Markets in its sole and absolute discretion, are instead performed by designated third parties, including FCMs (for example only, NinjaTrader), DCMs, and DCOs. Slay Markets does not hold any Customer deposits or Customer funds related to the Services, does not execute any Commodity Transactions, and does not settle or clear any Commodity Transactions.
These Slay Markets Terms of Use (the "Terms") solely govern your creation of a Slay Markets Account and your use of the Services. You agree to waive all claims, disputes, causes of action, or controversies against the Slay Markets Released Parties (as defined in the Authorizations and Agreements by You Section), and release and hold harmless the Slay Markets Released Parties from, any and all liability related to, arising out of, or based upon, settlement, clearing, holding of funds, and other actions necessary to perform Commodity Transactions. By creating a Slay Markets Account or accessing or using the Services, you agree to be, and are, bound by these Terms as well as the Slay Markets Privacy Notice and the Slay Markets GLBA Privacy Notice (the Slay Markets Privacy Notice and the Slay Markets GLBA Privacy Notice together the "Privacy Notice") and Risk Disclosure for Slay Markets, and all other rules, terms and conditions, policies, and notices applicable to your creation of a Slay Markets Account, use of your Slay Markets Account, or your access to, or use of, the Services, in each case, that are otherwise communicated to you by Slay Markets (the "Other Terms" and, together with the Terms and the Privacy Notice, the "Agreements"). The Privacy Notice and Other Terms, as may be amended at any time and from time to time by Slay Markets in Slay Markets’ sole and absolute discretion, for any reason or no reason, are hereby incorporated by reference in their entirety into these Terms.
You acknowledge that in order to use our Services, you must obtain the appropriate technical equipment and software, including third-party software at your own risk and expense. The Website is accessible from the most commonly used web browsers. The internet access, purchase of the equipment, and purchase of the web browser and its updates are at your own risk and expense. Slay Markets does not warrant or guarantee that the Services will be compatible with any specific equipment or software.
You further acknowledge and agree that you are not an employee or agent of Slay Markets and shall not represent yourself as such.
By creating a Slay Markets Account and/or using your Slay Markets Account to access the Services (or by otherwise accessing or utilizing the Services in any manner, including, without limitation, to place or to request a Commodity Transaction), you agree to be bound by the Agreements. The Agreements govern and apply to: (i) your creation and use of any Slay Markets Account; (ii) your access to and use of the Website; and (iii) your access to, and use of, the Services.
All data that you provide to us through registration, your Slay Markets Account, or otherwise must be complete, true, and up to date. You must immediately notify us of any change in your data or update the data in your Account within seven (7) days of such change. You are responsible for all the provided data being accurate and up to date; Slay Markets is not obligated to verify the data. You agree to promptly furnish any documentation or information Slay Markets requests, including but not limited to tax documents, identity verification, and trading records. You also agree to comply with all Know Your Customer (KYC) requirements as mandated by Slay Markets.
These Terms do not apply to the actions of any FCM, DCM, or DCO, including, without limitation, any FCM's holding of Customer deposits and Customer funds, any DCM's inability to execute or cancel a Commodity Transaction or erroneous execution or cancellation of a Commodity Transaction, or any DCO's clearing of a Commodity Transaction. You acknowledge and agree that Slay Markets does not hold any Customer deposits or Customer funds related to the Services, does not execute any Commodity Transactions, and does not clear or settle any Commodity Transactions, and therefore, you acknowledge and agree that these Terms do not apply to your purchase or sale of any Commodity Transaction(s); liquidation, clearing, or settlement of any Commodity Transaction; or deposits or withdrawals in connection with the Services. You agree to release and hold harmless the Slay Markets Released Parties (as defined in the Authorizations and Agreements by You Section) from any and all liability related to, and agree to waive all disputes, causes of action, controversies, and claims against the Slay Markets Released Parties arising out of, (iv) your purchase or sale of any Commodity Transaction(s); liquidation, clearing, or settlement of any Commodity Transaction; (v) deposits or withdrawals in connection with the Services; and (vi) the actions of any FCM, DCM, or DCO, including, without limitation, any FCM's holding of Customer deposits and Customer funds, any DCM's inability to execute or cancel a Commodity Transaction or erroneous execution or cancellation of a Commodity Transaction, or any DCO's clearing of a Commodity Transaction.
